Praedium Investments is the real estate capability within the UMCI structure. It exists for clients acquiring, developing or holding high-value property — principally across London's most enduring locations, and internationally where a client's interests require it.

Praedium derives from the Latin for landed property: an estate, a holding, a thing possessed. The name reflects what the work is actually about. Real assets, held properly, over time.

Why it exists

Prime transactions fail on process, not on price.

The asset is identified, the principal is willing, and then the acquisition stalls. Financing that does not align with the timetable. A structure that suits the buyer but not the lender. Due diligence that surfaces the wrong issue three weeks late. A chain of advisers, each competent, with nobody coordinating between them.

Praedium exists to hold that process together — from acquisition criteria through to completion, and beyond into development, management and eventual exit.

Acquisition strategy

Development of acquisition criteria, target profile, budget architecture and structure, defined before any property is viewed.

Sourcing and selection

Identification, preliminary assessment, comparison and commercial evaluation of properties and portfolios, including off-market where available.

Due diligence coordination

Legal, technical, financial and commercial due diligence coordinated across appropriate specialists, with findings consolidated into a single commercial view.

Structuring and financing coordination

Coordination with the client's legal and tax advisers on ownership structure, and with lenders and brokers on acquisition financing.

Development and asset management

Development strategy, refurbishment oversight, property project management, portfolio planning and asset management advisory.

Exit and disposal

Development and coordination of asset or portfolio exit strategies.

Approach

Selective, and unhurried.

Praedium is not a volume business and does not operate a marketplace. We work on a small number of assets where the fundamentals justify the attention.

Emphasis is placed on strong underlying property fundamentals; established or resilient locations; identifiable rental demand; scope for income enhancement; potential for active asset management; appropriate legal and ownership structures; disciplined acquisition pricing; and credible medium- to long-term exit potential.

Every asset is considered on its own merits. Nothing is pursued because it falls within a particular postcode, property category or price range.

Consortium structures

Where several parties acquire together.

Some acquisitions are undertaken by a consortium — a defined group of parties who together acquire, hold, manage and ultimately dispose of a property or portfolio through a special purpose vehicle, with UMCI acting as strategic adviser and transaction coordinator.

Consortium arrangements are assembled for a specific asset by parties who already know one another, or who are introduced within an established professional relationship. Each party takes its own legal, tax and financial advice and reaches its own decision. Governance rights sit with the consortium, and decisions concerning the asset are made by its members.

UMCI's role is coordination. That covers consortium formation alongside the parties' own legal advisers; governance and reserved matters procedures; participant schedules and capital commitment records; anti-money-laundering and identity verification coordination; administration of the agreed distribution arrangements; reporting to members; and coordination of the eventual disposal or exit.

Consortium arrangements are private and are not offered generally. UMCI does not operate a subscription platform, does not invite participation in property investments, does not publish opportunities, and does not approach persons with whom it has no established professional relationship.

Method

Institutional discipline, privately applied.

Consortium arrangements are documented to a consistent standard: a governing agreement between the parties, a defined record of each member's commitment and entitlement, transparent recording of fees and the services to which they relate, a clear basis for the calculation of any distribution, and a defined process governing transfer or exit.

The purpose is continuity. Each stage of an arrangement is supported by its own record, so that the position is unambiguous years later — when the people who negotiated it have moved on, and the documents are all that remain.

The platform

UMCI OÜ leads the client relationship, holds the engagement terms and coordinates the transaction.

Quaestus Global provides allocation and portfolio-level capability where property forms part of a wider multi-investment programme.

Praedium Investments is a trading brand of UMCI OÜ. It is not a separate legal entity, and contracts are entered into with UMCI OÜ.
